By accessing or using the website, products (including Mirai and AI Call Assist), and services provided by Aionyx Technologies Inc (“Aionyx”), you agree to be bound by these Terms of Use and our Privacy Policy. If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind such entity.

2. AI Services & Probabilistic Nature

Nature of AI: You acknowledge that our services utilize Artificial Intelligence and Large Language Models (LLMs), which are probabilistic in nature. While we strive for high accuracy, outputs may occasionally be inaccurate or hallucinated.

Human in the Loop: For critical decisions—especially in healthcare, finance, and legal contexts—Aionyx services are designed to assist, not replace, human judgment. You remain responsible for verifying AI-generated outputs before taking action based on them.

3. Acceptable Use

You agree not to use our services to:

Generate or disseminate content that is illegal, harmful, threatening, or defamatory.
Reverse engineer, decompile, or attempt to discover the source code or underlying models of our services.
Use the services to build a competing product or service.
Interfere with or disrupt the integrity or performance of the services.

4. Intellectual Property

Aionyx IP: All rights, title, and interest in and to the Aionyx platform, algorithms, and pre-existing models remain exclusively with Aionyx.
Customer Data: You retain all ownership rights to the data you input into our services (“Input”) and the specific outputs generated for you (“Output”), subject to the license granted to us to process such data.

5. Industry-Specific Disclaimers

Healthcare: Our services are not a medical device and do not provide medical advice or diagnosis. Always consult a qualified healthcare provider.
Finance: Our services do not constitute financial, investment, or legal advice. Aionyx is not responsible for financial decisions made based on AI analysis.

6. Limitation of Liability

To the maximum extent permitted by law, Aionyx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

7. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Texas.
